1. Acceptance of Terms

Welcome to Morganize! These Terms of Service ("Terms") govern your access to and use of the Morganize mobile application, website, and related services (collectively, the "Service"). The Service is provided by Morganize ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you don't agree to these Terms, do not use the Service.

Important: These Terms contain an arbitration clause and class action waiver (Section 12) that affect your legal rights. Please read carefully.

2. Eligibility

You must be at least 18 years old to use Morganize. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• Your use of the Service complies with all applicable laws and regulations
• You will provide accurate and complete information

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Types

• Individual Accounts: For personal use (Free and Pro tiers). Subject to our standard data practices.
• Enterprise Accounts: For organizations. Subject to separate Enterprise Agreements with enhanced data controls.

4. User Data & Content Rights

4.1 Your Content

You retain ownership of the content you create (habits, goals, journal entries, etc.). However, by using the Service, you grant us the following rights:

• Operational License: A worldwide, non-exclusive, royalty-free license to use, store, copy, and display your content to provide and improve the Service.
• AI Training: Rights to use anonymized data to train and improve our AI models.

4.2 Aggregated Data (Individual Users)

For Individual Users, you agree that we may compile, use, and disclose aggregated and anonymizedstatistics regarding your use of the Service. This aggregated data does not identify you personally. We retain all rights, title, and interest in and to such aggregated data and may use it for any business purpose, including industry analysis, benchmarking, and monetization.

4.3 Enterprise Data

For Enterprise Users, data usage is strictly governed by your Enterprise Agreement. We do not monetize Enterprise customer data. Enterprise users retain full ownership and control over their organizational data.

5. Subscription & Payments

5.1 Pricing

Morganize offers tiered subscriptions:

• Free Tier: Full access to all features including AI coaching.
• Pro Tier (coming soon): Advanced features, priority AI access.
• Enterprise Tier (coming soon): Custom pricing with enhanced security and administration.

5.2 Billing

• Subscriptions auto-renew monthly/annually unless cancelled.
• You authorize us to charge your payment method.
• Price changes will be communicated 30 days in advance.
• No refunds for partial months or unused features.

5.3 Cancellation

You may cancel anytime via your account settings. Access continues until the end of your billing period.

6. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer, hack, or bypass security measures
• Use automated tools (bots, scrapers) without permission
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Share your account credentials

7. Intellectual Property

7.1 Our Ownership

Morganize owns all rights to:

• The Service design, code, and functionality
• Our trademarks, logos, and branding
• AI models and algorithms
• Aggregated and anonymized data insights

7.2 Feedback

If you provide suggestions, ideas, or feedback, you grant us unlimited rights to use them without compensation or attribution.

8. Third-Party Services

Morganize integrates with third-party services (payment processors, AI providers, analytics tools). These services have their own terms and privacy policies. We are not responsible for third-party practices.

9. Disclaimers & Limitations of Liability

9.1 No Medical Advice

Morganize is NOT a medical device or healthcare service. Our AI coaching is for informational and motivational purposes only. Do not rely on Morganize for medical, psychological, or therapeutic advice. Consult qualified professionals for health concerns.

9.2 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free operation
• Accuracy, completeness, or reliability of content
• Specific results or outcomes

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not responsible for data loss, business interruption, or loss of profits

10. Indemnification

You agree to indemnify and hold Morganize harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your access ends immediately.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Before filing a claim, contact us at support@morganize.com to resolve the issue informally.

12.2 Binding Arbitration

You and Morganize agree to resolve disputes through binding arbitration instead of court litigation, except for small claims court cases and intellectual property disputes.

12.3 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS. Claims must be brought individually.

12.4 Governing Law

These Terms are governed by the laws of the United States and the State of California.

13. Changes to Terms

We may modify these Terms at any time. Changes are effective immediately upon posting. We will notify you of material changes via email or in-app notification.
